STANDARD ASSUMPTIONS / REQUIREMENTS

  • All works to be completed in one continuous single program of works.
  • All edgings in place and sub layer stone to be supplied and applied by another prior to our installation. (as per specification sheet supplied by us)
  • On multiple visit schemes minimum area sizes (specified by us) must be prepared prior to visit to avoid any standing time
  • Day joints to be agreed and to be butted together, an option of using aluminium joints (supplied by us) are classed as an extra.
  • Available site hours assumed to be 7am-5:30pm Mon-Fri
  • Extended hours and Weekend working to be available if required
  • All works accessible with works vehicle and trailer
  • All works available for inspection prior to installation team mobilising
  • All setting out and engineering assumed to be the responsibility of the client
  • No liability for damage to associated/adjacent areas to the work site (Site footprint to be minimised at all times)
  • Acceptable storage areas for delivered materials
  • Access and egress acceptable to receive deliveries
  • If deliveries cannot be made by a vehicle with a tail lift, a forklift or telehandler should be made available on site by client
  • Client must arrange acceptance and storage of deliveries prior to our installers arrival on site.
  • Any/all traffic and pedestrian management assumed to be the responsibility of the client
  • Sufficient materials for storage of 7 days work on site at all times
  • Acceptable on-site security for all delivered materials (no liability with us)
  • Materials will require to be stored in a weather protected environment (no liability with us prior to our installers arrival on site)
  • All works are weather dependent
  • All areas prepared to acceptable standard (no liability with us)
  • All edgings installed to acceptable standard (no liability with us)
  • All laid material must not be trafficked for at least 48 hours after installation (no liability with us)
  • Skip on site supplied by client for disposal of empty drums, bags, containers, pallets
  • A nominated person to act as a point of reference for all site issues
  • Acceptable welfare facilities on site for the site team
  • No assumptions have been made about services (no liability with us)
  • Materials are ordered to clients measure this must be correct on order please check your quote
  • All works subject to re-measure
  • Any variations to the above assumptions may be subject to additional charges
  • Payment schedule to be discussed and agreed.
  • We will split the invoice between materials and labour as part of our open policy

By agreeing with our terms & conditions you also agree that the above list of assumptions / requirements have been met and agreed.

FINANCIAL TERMS

a) Prices are strictly 7 days from the date of invoice subject to account status, unless otherwise specified on invoice. 50% deposit to be paid on the arrival of materials to site.

b) Pro-Forma payment will be at the discretion of Langford Direct Ltd.

c) Settlement discounts required under the terms of Main Contract are not included and should be added to all prices quoted unless specified otherwise, (2.5% add 2.563%, 5% add 5.263%).

d) This Quotation is given on the basis of no retention being withheld.

e) Quotations are net and exclusive of VAT which is extra at the prevailing rate.

f) Langford Direct will endeavour to maintain the prices quoted as specified. However the price of crude oils is subject to fluctuations which impact upon the price of oil based chemical raw materials. The quoted prices are based on current raw material cost at the time of quotation but Langford Direct Ltd reserves the right to increase the quoted price as a result of unforeseen increases in raw materials prices after date of quotation.

g) The prices and rates in this quotation are fixed for your acceptance as specified and based on 0% retention being withheld on completion of works unless agreed in writing. Withholding retention amounts will result in the surface guarantee, to maximum 12 months from final installation date.

h) Areas are subject to re-measurement on completion and based on minimum order value as detailed in our quotation. If the area is reduced more than 2.5%, then it will be subject to a re-rate if no prior written notice is received and we have acknowledged receipt in writing.

i) Order values are fixed as specified, thereafter will be subject to a price review at Langford Direct discretion.

j) Any amendments to previously ordered works whilst we are on site, requires written instruction before they can be started.

k) Any cancelled orders, will be charged at the following rates of the original order value: 25% for any ground works & wet-pour Project; 100% for all other items

l) Langford Direct have quoted on the assumption that the full remaining payment (50% remaining) will be honoured (within 7 days from date of invoice unless otherwise specified in specific payment terms included within your quote). No allowance has been made to accommodate the requirement for retention monies (unless specified) or the necessary administrative costs. Langford Direct Ltd will not accept the imposition of Liquidated Damages by a main contractor under any circumstances.

m) The risk in the goods shall pass from the seller (Langford Direct Ltd) to the buyer, upon delivery to the buyer. However, not withstanding delivery and the passing of risk in the goods, tittle there in shall not pass to the buyer until the seller (Langford Direct Ltd) has as received and cleared payment in full, for all goods delivered to the buyer under this and all other contracts between the seller (Langford Direct Ltd) and the buyer. Langford Direct Ltd reserves the right to enter premises for the purposes of removing any goods where title has not passed to the buyer. Please note that Langford Direct Ltd will not accept any responsibility for the damage (including weather damage) and/or accidental waste of goods under the buyers care, replacement materials may be subject to additional charges. All materials have a designated life span which is clearly shown on packaging. Langford Direct Ltd will not be held responsible for expiry of products through delays, mistreatment, careless storage. It is the clients responsibility to manage and inspect the materials once delivered and inform Langford Direct Ltd.

n) Whilst every effort will be made to minimise damage to the access route provided, we accept no liability for the cost of reinstatement, should damage occur.

o) All payments to be made under this agreement shall be made in cleared funds, without deduction or set-off.

p) The Warranty is given subject to the following condition, that the customer must have made full payment for the surface in accordance with the conditions of our quotation / our contract between the company and the customer for the supply and installation of the surface (including those as to time of payment). Where payments are made outside of the agreed contractual terms, any warranty period will reduce to 3 months, from completion date.

q) The guarantee is only valid if full payment of the surface is received within 7 days of installation or the agreed terms of our quotation.

r) If the quoted area size is under question and a re-measure is requested by the client, Langford Direct reserves the right to charge a £500 administration fee if the invoiced area size is found to be correct

For the avoidance of doubt, this warranty does not confer any rights on the Customer, or impose any liability on the Company, other than those expressly set out above and does not cover any claims for indirect or consequential loss or damage arising out of defect.

THESE NOTES SHOULD BE READ IN CONJUNCTION WITH THE QUOTATION SUPPLIED. PLEASE READ CAREFULLY.

1. The price is valid for orders placed within 1 month, for work to be completed within 3 months, after which it may be subject to raw material increases.

2. The price given assumes that the work can be completed in a single visitation period as stated prior to the installation and that no additional ground works, shaping or levelling is required, unless specifically quoted for.

3. Free access and parking for our lorries / delivery of materials and plant is required with flat hard standing to within 30m of the surfacing works. Secure storage for our materials on site for the duration of our works. Adjustment of adjoining surfaces, soiling, seeding and landscaping are not included in our offer unless specifically written.

4. Areas installed with rubber that are exposed to sustained high temperatures for prolonged periods, will have greater absorbency and heat retention properties than lighter colours. Rubber Mulch therefore, is not recommended for areas predominantly used by babies and toddlers where skin contact during crawling/sitting may be affected by staining / surface temperatures.

5. Whilst every effort is made to complete every installation with the minimum number of ‘day joints’ we do not offer any guarantee to complete a joint free surface.

6. All of our products are hand laid systems and as such some trowel / roller lines may be visible upon completion. These lines are normally only visible at dawn / dusk, with certain low light conditions e.g. sunset/sunrise. Over time these may become less visible.

7. All depths indicated are ‘nominal’ depths.

8. Where the finished surface consists of black rubber or natural aggregates, slight shading variations may be apparent. No guarantee of total consistency can be given due to the materials and blending process.

9. Note that all colours are subject to ultra-violet degradation over time, some more than others, and total colour stability cannot be guaranteed. We would be happy to advise and offer guidance about the choice of colours for your project. The industry in general, including ourselves, use Aromatic resin.

10. We have NOT provided for any Site Security. Please note that whilst we will endeavour to protect each site as long as operationally possible, the surface may not have fully cured when we leave site. Langford Direct is not responsible for any damage caused whist we are not on site. Product curing times can extend due to weather. Any vandalism/erroneous encroachment onto the area will not be covered by warranty. Any remedial works in these instances will incur an additional charge.

11. Temporary (Heras) fencing is not provided, if required this will an additional charge once agreed.

12. Our quotation is based on secure storage being provided onsite for our materials for the duration of the works.

13. Our standard policy, where we encounter Manhole covers / drain grids etc, is to cover them unless instructed otherwise, as our aim is always to create safe areas free of trip hazards. We can supply / or install appropriate re-ceased manhole covers with adequate prior notice and at additional cost, if requested. These are the only way to maintain access whenever necessary, without damaging the surface.

14. It is the Client’s responsibility to ensure that there is sufficient clearance under and doors / gates opening onto the area, for the thickness of surface ordered.

15. Our standard guarantee on all surfacing is 12 months*(subject to item ‘p’ above).

16. During the Warranty Period the company will remedy any defect in the surface by a localised repair to the affected area(s), which results from materials, weather or workmanship, in the manufacture and installation of the surface. We do not guarantee a joint less installation or for shrinkage.

17. Further visits to site will incur an extra charge – All costs incurred due to abortive visits, waiting time will be charged at a rate of £850.00 per day (Per team). This charge will also be applicable, if there are site delays on the day of scheduled installation and it results in us not completing our allocated work for that day. Additional labour and materials used to make up levels will be charged for.

18. Repair Kits – Material components are generally held in stock. The actually kits are then assembled and prepared to order. Due to potential batch-to-batch colour variations, we operate a NON-Returns policy on all repair kits.

 The above prices will pertain for up to a single visitation period to complete the works.

 This price is conditional on the total area being made available at the commencement of laying.

19. Even though every care is taken to avoid variation in colour and size of aggregates this product are natural occurring and no guarantee can be given.

20. The sample colours are a representative and no guarantee can be given in variation to colour or aggregates.

21. As our aggregates are naturally occurring products, they may contain very minor quantities of iron bearing minerals, which can break down with weathering with resultant rust staining. Any controls of this situation are beyond our control but we do issue a risk of iron staining (RIS) index to advice customers of products, which carry the greater comparative risk. This has more recently reported using Brittany Bronze.

22. The price given assumes that the work can be completed in one visit and that no additional shaping or levelling is required, unless specifically quoted for.

23. Cancellation or postponement within less than ten working days of an agreed laying date may incur a charge of up to 20%. Postponement or cancellation within less than three working days (72 hours) of an agreed laying date may incur a charge of up to 75%.

24. Cancellation after receipt of a Letter of Intent, Sub-Contract order or Purchase Order will incur all reasonable costs, including value of materials purchased, site visits, third party cancellation charges and an administrative charge.

25. This Quotation is subject to a site visit to agree area and levels.

26. This Quotation is conditional on a suitable base being provided by others.

27. This Quotation is on the basis of suitable edge restraints being provided by others.

28. This Quotation is on the basis that all the traffic management before, during, and after laying the material and protection of the uncured surface is provided by others.

30. Lead time – normally up to 6 weeks from the date of order – depending on a availability or raw materials etc., please ask for a programme date at the time of ordering.

31. Our standard payment terms state a 50% deposit which is to be paid on the delivery of materials with the remaining balance to be settled within 30 days of completion of each phase of the work, subject to satisfactory credit account approval through a credit agency or pre-payment for non-account holders.

32. Interest may be charged on late payments in accordance with the Late Payments or Commercial debts (Interest) Act.

33. This Quotation is based on normal weekday rates: evening/night, weekend and Bank Holiday working will incur extra costs.

34. If any documentation is needed to attend site or complete said works such as risk assessments, methods statements, COSH reports then this must be requested within 1 week of this quote.

35. Areas in excess in the minimum stated are subject to re-measure after laying.

36. Area less than the minimum stated will be subject to revised rate.

37. 7 year limited guarantee applies to the Sudstech 2 Part Paving System and Sudstech Resin Bound Surfacing and a 20 year limited guarantee on Trailflex Paving*(subject to item ‘p’ above).

38. For cleaning – we require the provision of a suitable water supply (to within 40m).

39. Resin bound gravel (no rubber sub base) – New Macadam surfaces are required to be left ‘open to weather’ for a minimum period of 3 weeks after laying, before line marking or coatings can be applied to them, and 4 weeks is advisable. It will be assumed that any installation date you specify or book us for, has taken this weathering period into account. We will not accept any claims for any defects caused by reducing the 3 weeks ‘open to weathering period’.

40. This Quotation does not make allowance for any main Contractor’s discount.

41. Tracked machines/vehicles are not to be driven on our surfaces as this will cause damage (especially rubber tracked vehicles)

42. Cancellation after receipt of a Letter of Intent, Sub-Contract order or Purchase Order will incur MINIMUM 50% cancellation cost, including value of materials purchased, site visits, third party cancellation charges and an administrative charge, whichever is greater.

43. All new tarmac surfaces must be of high quality and meet the criteria of its sporting bodies requirement.

44. Sports areas such as courts that are considered to be high moss are those installations that take over a day to clean satisfactory. Thus ensuring sound application of products.

45. Call out charges will only be incurred if work cannot be carried out through no fault of Langford Direct Ltd or advice on weather conditions have not been accepted. This includes courts not being clean and free of moss / dirt.

46. Repairs / Cleaning of debris charges will only be incurred if it takes longer than 1 hour to do the task, and will be agreed before work is carried out.

47. Cleaned courts and new courts need to be colour sprayed within 4-6 weeks. A light pressure was is required for courts that have been left over longer periods to ensure the sound application of products and to be able to offer a manufacturers guarantee.

48. VAT will be added at the current rate.

49. Cracks or joints in any underlying concrete may reflect through to the surface. Movement of existing tree roots may also cause cracking, which is not covered under our guarantee.

50. Our standard payment terms are settlement within 30 days of completion of each phase of the work, subject to satisfactory credit account approval through a credit agency or pre-payment for non-account holders.

51. 1 year limited Guarantee on Colour coatings*(subject to item ‘p’ above).

52. Where surfacing is to be laid beneath existing equipment, especially moving units such as roundabouts and swings, ground clearance should be maintained in accordance with BSEN 1176. Unless we have specifically quoted for it, no allowance has been made for height adjustment, which shall be the client’s responsibility.

53. In the absence of a suitable site investigation report we have assumed and priced for any excavation and disposal items on the basis of the material being inert and non

54. When we have quoted for either equipment installations and / or preparation of ground works, price assumes machine access for ground works required to complete Langford Direct preparation works if undertaken. We have allowed for excavating in normal (soft) soil conditions over a flat site, if not flat we will follow contours unless instructed otherwise in writing.

55. Additional costs incurred due to ground conditions such as rock or running sand or obstructions such as concrete, tree roots or utility services will be charged for.

56. Substructures must conform in all respects to our groundwork specification.

57. We strongly advise that, where possible, Pre-cast Concrete Kerb (PCC) edging should be used to retain wet-pour surfacing. Should the client specify / order treated timber edging or omit any formal edging (including directly to Macadam, we do not guarantee adhesion between Wet-pour surface and any edging.

58. All Warranties for products included in the Langford direct product range are given subject to the following conditions:-

The company will not be liable for any defect in the surface that has arisen as a result of, or has been exacerbated by:

Incorrect or inadequate maintenance;

Defects in underlying surface or foundations; or which is the result of vandalism or deliberate damage;

The defect must be promptly reported to the company and the company must be allowed access to the surface within normal business hours to inspect / repair any defect (Mon-Fri 09:00-16:30hrs).

The customer must have made full payment for the surface in accordance with the conditions of our quotation / contract between the company and the customer for the supply and installation of the surface (including those as to time of payment) *(subject to item ‘p’ above).
